The Board of Directors is invested with full powers of ordinary and extraordinary administration of the company and may perform all acts deemed appropriate to implement the activities making up the company object or that can be used by it, excluding those activities that the Law
appoints exclusively to the Meeting.

The shareholders believe that between seven and ten directors is an appropriate size given the size of the Company. The Board may adjust the size of the Board from time to time. The board shall be composed of;
a) Balance of executive and non-executive directors;
b) Non-executive directors shall comprise the majority;
c) Sufficient non-executive directors shall be ‘independent’ directors;
d) A nomination committee, consisting entirely of non-executive directors, with the majority independent directors and chaired by the board chairperson, is to select directors in a transparent manner; and rotation of directors, to ensure continuity

The composition of the current Board of Directors is as follows:
1.John Mpambala (Ugandan) An advocate and physical planner.                2. Stephen Kasenge (Ugandan) A Certified Public Accountant, FMCA and
financial Consultant.
3. Sirajje Kanyesigye (Ugandan) A Certified Public Accountant and Tax
Consultant.
4. Vivian Laing (Scottish) A Health and Safety Specialist.

5. Eng Kimeze Sebugga. (Ugandan) A civil Engineer.
6. Eng Ashraf Abdulsalam (Egyptian) A civil Engineer and project management
Specialist.
7. Jumah Wangira Patrick (Ugandan) International and diplomatic relations
practitioner and psycho sociologist and therapist.
8. Martin Lwanga (Ugandan) Management Consultant and Specialist.

Company Secretary
Ali Ssebagala. (Ugandan) of MSM advocates.The Secretary shall keep a book of minutes of all meetings of Directors, Committees of Directors, and Shareholders, with the time and place of holding, whether regular or special.


The Secretary shall keep at the principal office or at the office of the corporation’s
transfer agent, a share register, or duplicate share register, showing the names of the shareholders and their addresses;  the number of classes of shares held by each;

number and date of certificates issued for the same; and the number and date of
cancellation of every certificate surrendered for cancellation. The Secretary shall give or cause to be given notice of all meetings of the Shareholders and of the Board of Directors required by the Bylaws or by law to be given, shall keep the
seal of the corporation in safe custody, and shall have such other powers and perform such other duties as may be prescribed by the Board of Directors or by the Bylaws.
